Moltes empreses tenen informacions o coneixements fonamentals per al seu negoci que no volen que es revelin a tercers: un procés de fabricació no patentat, la seva estratègia comercial o pla de negoci, llistat de clients, especificacions tècniques dels seus productes, etc.
Sàpiga que la Llei protegeix aquests “secrets empresarials”, però si es donen uns requisits:
- Ha de ser informació “secreta”, no coneguda de manera generalitzada, ni fàcilment accessible per a tercers.
- Ha de tenir un valor empresarial, per l’impacte positiu que pot generar en el seu negoci i com a factor diferenciador enfront de competidors.
- Però també és necessari que demostri que ha adoptat mesures adequades per a mantenir aquesta informació o coneixement en secret.
Quins són els avantatges?
Si es compleixen aquests requisits, la protecció és immediata:
- No necessita registrar aquests secrets per a quedar protegit (és una marca o patent si ha de fer-ho).
- Si es produeix l’ús no autoritzat d’aquesta informació (treballador que deixa l’empresa), o el seu robatori o còpia, podrà exigir que cessament l’ús, i fins i tot una indemnització pels perjudicis soferts.
Protocol de protecció
Vostè ha de prendre mesures per a mantenir la informació en secret i una manera de fer-ho és elaborar un protocol de protecció dels secrets empresarials de la seva empresa.
- Mesures legals. Cal prendre-les per a protegir els secrets:
- Empleats. Subscrigui clàusules de confidencialitat als seus empleats i col·laboradors, amb una penalització econòmica per a l’incomplidor.
- Tercers. Si un tercer ha d’accedir a aquesta informació, com és el cas d’un proveïdor que ha de conèixer el seu procés de fabricació, ferma clàusules de confidencialitat.
- Cas de litigis. Si ha d’aportar aquest tipus d’informació o documentació, demani-li al jutjat que prengui mesures per a protegir la seva confidencialitat.
- Mesures tècniques
- Limiti l’accés únicament als empleats i col·laboradors que, per les seves funcions el necessiten.
- Adopti mesures de seguretat informàtica per a evitar accessos no autoritzats.
