Una sentencia del Tribunal Supremo ha establecido que el sueldo de los consejeros ejecutivos de las sociedades debe constar en los estatutos y ser controlado por la junta de socios.

La retribución de los administradores tiene que estar necesariamente fijada en los estatutos sociales de la compañía y con detalle cada concepto retributivo sea una cantidad fija, variable, y/o en especie, etc., y además en ciertos casos es obligatorio que exista un contrato entre el administrador y la sociedad, puesto que de no existir, no podría cobrar la retribución y además no sería gasto deducible, e incluso podría reclamar o denunciar cualquier accionista o socio en la sociedad.

Si los criterios y las normas han cambiado, la situación mercantil, fiscal y de seguridad social de los Administradores, socios o directores aconsejamos a nuestros clientes las modificaciones oportunas para quedar protegidos ante la ley. Consultando a nuestros asesores los siguientes pasos:
