Es la figura de un profesional independiente que realiza una actividad econ\u00f3mica regida siempre por contratos mercantiles con terceros.<\/span><\/p>\n<p style=\"text-align: justify;\"><span style=\"font-weight: 400;\">En esta opci\u00f3n no hay distinci\u00f3n entre el patrimonio de la persona f\u00edsica y el de la empresa. Y para que su actividad sea v\u00e1lida desde el punto de vista de la Administraci\u00f3n:<\/span><\/p>\n<ul>\n<li style=\"font-weight: 400; text-align: justify;\" aria-level=\"1\"><b>Capital m\u00ednimo<\/b><span style=\"font-weight: 400;\">: 0 \u20ac.<\/span><\/li>\n<li style=\"font-weight: 400; text-align: justify;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Debe estar dado de <\/span><b>alta en el IAE <\/b><span style=\"font-weight: 400;\">(Impuesto de Actividades Econ\u00f3micas).<\/span><\/li>\n<li style=\"font-weight: 400; text-align: justify;\" aria-level=\"1\"><span style=\"font-weight: 400;\">\u00a0Y en la <\/span><b>Seguridad Social como aut\u00f3nomo<\/b><span style=\"font-weight: 400;\">, pagando una <\/span><b>cuota mensual por su cotizaci\u00f3n <\/b><span style=\"font-weight: 400;\">en concepto de seguros sociales.<\/span><\/li>\n<li style=\"font-weight: 400; text-align: justify;\" aria-level=\"1\"><b>Responsabilidad ilimitada<\/b><span style=\"font-weight: 400;\">: Se responde ante las deudas con todos tus bienes presentes y futuros.<\/span><\/li>\n<li style=\"font-weight: 400; text-align: justify;\" aria-level=\"1\"><b>Impuestos a declarar<\/b><span style=\"font-weight: 400;\">: IRPF (un impuesto progresivo, lo que significa que cuanto m\u00e1s ganas, mayor es el porcentaje pudiendo alcanzar tipos marginales elevados.).<\/span><\/li>\n<li style=\"font-weight: 400; text-align: justify;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Una<\/span><b> opci\u00f3n ideal<\/b><span style=\"font-weight: 400;\"> para: Negocios peque\u00f1os, profesionales de servicios, o proyectos que est\u00e1n empezando y quieren pocos costes de gesti\u00f3n.<\/span><\/li>\n<li style=\"font-weight: 400; text-align: justify;\" aria-level=\"1\"><span style=\"font-weight: 400;\">No siempre es una \u201copci\u00f3n ideal\u201d por sencillez. Existen varias tipolog\u00edas m\u00e1s de sociedad limitada, pero en todas coincide una caracter\u00edstica com\u00fan: la responsabilidad de los socios es limitada.<\/span><\/p>\n<ul>\n<li style=\"font-weight: 400; text-align: justify;\" aria-level=\"1\"><b>Capital m\u00ednimo<\/b><span style=\"font-weight: 400;\">: Desde la aprobaci\u00f3n de la <\/span><a href=\"https:\/\/www.boe.es\/buscar\/act.php?id=BOE-A-2022-15818\" target=\"_blank\" rel=\"noopener\"><span style=\"font-weight: 400;\">Ley Crea y Crece 18\/2022<\/span><\/a><span style=\"font-weight: 400;\">, el <\/span><b>capital social m\u00ednimo legal es de 1\u20ac<\/b><span style=\"font-weight: 400;\">, aunque se recomienda aportar , como m\u00ednimo 3.000,00\u20ac o importe superior m\u00e1s para dar confianza a bancos y proveedores, y debe tenerse en cuenta la regla especial que consiste en que mientras el capital social no alcance los 3.000 euros, debe destinarse a reserva legal al menos el 20% del beneficio hasta alcanzar dicha cifra y, en caso de liquidaci\u00f3n con patrimonio insuficiente, los socios responden solidariamente hasta la diferencia entre el capital suscrito y 3.000 euros.<\/span><\/li>\n<li style=\"font-weight: 400; text-align: justify;\" aria-level=\"1\"><b>Responsabilidad<\/b><span style=\"font-weight: 400;\">: <\/span><b>Limitada al capital aportado<\/b><span style=\"font-weight: 400;\">. La regulaci\u00f3n y \u00f3rganos superiores encargados de la gesti\u00f3n empresarial funcionan de forma democr\u00e1tica. Existe mayor libertad en cuanto a la trasmisi\u00f3n de acciones de la compa\u00f1\u00eda y facilita m\u00e1s la entrada y salida de inversores que una S.L.\u00a0<\/span><\/p>\n<ul>\n<li style=\"font-weight: 400; text-align: justify;\" aria-level=\"1\"><b>Capital m\u00ednimo<\/b><span style=\"font-weight: 400;\">: 60.000 \u20ac (debe estar desembolsado al menos el 25% al constituirse).<\/span><\/li>\n<li style=\"font-weight: 400; text-align: justify;\" aria-level=\"1\"><b>Responsabilidad<\/b><span style=\"font-weight: 400;\">: Limitada al capital aportado.<\/span><\/li>\n<li style=\"font-weight: 400; text-align: justify;\" aria-level=\"1\"><b>Transmisi\u00f3n de acciones<\/b><span style=\"font-weight: 400;\">: Las acciones se pueden vender libremente, lo que facilita la entrada de grandes inversores.<\/span><\/li>\n<li style=\"font-weight: 400; text-align: justify;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Una <\/span><b>opci\u00f3n ideal <\/b><span style=\"font-weight: 400;\">para: Grandes empresas que planean cotizar en bolsa o que requieren un volumen de capital muy elevado.<\/span><\/li>\n<\/ul>\n<p>[\/vc_column_text][\/vc_column][\/vc_row][vc_row css=\u00bb.vc_custom_1631109361052{padding-bottom: 20px !important;}\u00bb][vc_column]<div id=\"ultimate-heading-91586a0d89b161033\" class=\"uvc-heading ult-adjust-bottom-margin ultimate-heading-91586a0d89b161033 uvc-112 \" data-hspacer=\"no_spacer\"  data-halign=\"left\" style=\"text-align:left\"><div class=\"uvc-heading-spacer no_spacer\" style=\"top\"><\/div><div class=\"uvc-main-heading ult-responsive\"  data-ultimate-target='.uvc-heading.ultimate-heading-91586a0d89b161033 h2'  data-responsive-json-new='{\"font-size\":\"desktop:24px;\",\"line-height\":\"\"}' ><h2 style=\"font-weight:bold;color:#fe5d3a;margin-bottom:20px;\">Empresa emergente o startup<\/h2><\/div><\/div>[vc_column_text css=\u00bb\u00bb]<\/p>\n<p style=\"text-align: justify;\"><span style=\"font-weight: 400;\">No es exactamente un \u201ctipo de sociedad\u201d independiente, sino una calificaci\u00f3n legal que puede obtener una sociedad, normalmente una S.L., si cumple los requisitos de la <\/span><a href=\"https:\/\/www.boe.es\/buscar\/act.php?id=BOE-A-2022-21739\" target=\"_blank\" rel=\"noopener\"><span style=\"font-weight: 400;\">Ley 28\/2022, de fomento del ecosistema de las empresas emergentes<\/span><\/a><span style=\"font-weight: 400;\">.<\/span><\/p>\n<p style=\"text-align: justify;\"><span style=\"font-weight: 400;\">Para ser considerada <\/span><b>empresa emergente<\/b><span style=\"font-weight: 400;\">, la sociedad debe tener , entre otros requisitos:<\/span><\/p>\n<ul style=\"text-align: justify;\">\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">ser de nueva creaci\u00f3n o,<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">tener una antig\u00fcedad general inferior a cinco a\u00f1os desde su inscripci\u00f3n (siete a\u00f1os en determinados sectores como biotecnolog\u00eda, energ\u00eda, industria u otros sectores estrat\u00e9gicos),<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">no haber distribuido dividendos,\u00a0<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">no cotizar en mercado regulado,\u00a0<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">tener sede social, domicilio social o establecimiento permanente en Espa\u00f1a,\u00a0<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">contar con un porcentaje mayoritario de plantilla con contrato en Espa\u00f1a,\u00a0<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">desarrollar un proyecto innovador y escalable, y<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">no superar los 10 millones de euros de volumen de negocio.<\/span><\/li>\n<\/ul>\n<p style=\"text-align: justify;\"><span style=\"font-weight: 400;\">La condici\u00f3n de <\/span><i><span style=\"font-weight: 400;\">startup<\/span><\/i><span style=\"font-weight: 400;\"> debe <\/span><b>certificarse por <\/b><a href=\"https:\/\/www.enisa.es\/\" target=\"_blank\" rel=\"noopener\"><b>ENISA<\/b><\/a><span style=\"font-weight: 400;\">, conforme al procedimiento regulado por la <\/span><a href=\"https:\/\/www.boe.es\/buscar\/doc.php?id=BOE-A-2023-16817\" target=\"_blank\" rel=\"noopener\"><span style=\"font-weight: 400;\">Orden PCM\/825\/2023<\/span><\/a><span style=\"font-weight: 400;\">. El procedimiento se inicia mediante solicitud electr\u00f3nica ante ENISA y la certificaci\u00f3n permite <\/span><b>acceder a las ventajas previstas en la Ley de Startups<\/b><span style=\"font-weight: 400;\">.<\/span><\/p>\n<ul style=\"text-align: justify;\">\n<li aria-level=\"1\"><b>Principales ventajas<\/b><\/li>\n<\/ul>\n<p style=\"text-align: justify;\"><span style=\"font-weight: 400;\">Las empresas emergentes pueden aplicar un <\/span><b>tipo reducido del 15% en el Impuesto sobre Sociedades<\/b><span style=\"font-weight: 400;\"> durante un m\u00e1ximo de cuatro a\u00f1os, siempre que mantengan la condici\u00f3n de empresa emergente.<\/span><\/p>\n<p style=\"text-align: justify;\"><span style=\"font-weight: 400;\">Adem\u00e1s, la <\/span><b>Ley de
